Single Member Company Registration
Incorporate a single member company (SMC-Pvt) with SECP.
- Fee: Quotation required
- Online, anywhere in Pakistan
About this service
A single member company — its name ends with "(SMC-Private) Limited" — lets one person own a company alone. Unlike a sole proprietorship it is a separate legal entity: the company, not the owner personally, owns the business assets and is responsible for its debts, subject to the law.
It suits consultants, freelancers and small business owners who want limited liability and a corporate identity without bringing in a partner.
- Name reservation with SECP
- Incorporation documents for a single member company, following the current SECP requirements
- Certificate of incorporation, then the company's NTN and FBR profile
- Guidance on the bank account and the annual filings
A single member company can be converted into a private limited company later by adding members.
Documents required
- CNIC copy of the member / director (passport for a foreign national)
- Three proposed company names in order of preference
- Registered office address in Pakistan
- Main line of business
- Authorised and paid-up capital
- Mobile number and email address of the director
- Details of the nominee, where current SECP rules require one
Exact requirements depend on your case. Your officer will confirm the final list after reviewing your details.
How it works
- Send the inquiry form on this page with your contact details.
- We review your case, list the documents needed and confirm the fee with you.
- We reserve the company name and prepare the incorporation documents for your review.
- After your approval the application is submitted through SECP's online system; SECP sends a verification code to you.
- When SECP issues the certificate of incorporation we complete the FBR profile and hand over your company documents.
Frequently asked questions
How is a single member company different from a sole proprietorship?
A sole proprietorship is you trading under a business name. A single member company is a separate legal person registered with SECP, with limited liability and its own tax return and compliance filings.
Do I need to appoint a nominee or company secretary?
SECP's requirements for single member companies have changed over time. We apply the requirement in force when your application is filed and tell you exactly what is needed.
Can I add partners later?
Yes. Shares can be issued or transferred to new members and the company converted into a private limited company.
