About this service
Incorporating a company is the beginning of its obligations to SECP. Every company has filings to make each year and whenever something changes, and late filing leads to additional fees and can lead to penalties under the Companies Act.
We look after the routine compliance of private and single member companies:
- Annual return and related yearly filings
- Changes in directors, officers, registered office or shareholding
- Beneficial ownership information required by SECP
- Minutes of board and general meetings, and statutory registers
- A review of older years to find and regularise missed filings
Forms and procedures are those of SECP's current online system; form names and requirements change from time to time and we follow the version in force.
Documents required
- Certificate of incorporation and company registration number
- Memorandum and articles of association
- Latest forms filed with SECP, if available
- CNIC copies of current directors and shareholders
- Details and dates of any changes (directors, address, shares)
- Latest financial statements
Exact requirements depend on your case. Your officer will confirm the final list after reviewing your details.
How it works
- Send the inquiry form on this page with your contact details.
- We review the company's filing position with SECP, list what is due or overdue and confirm the fee with you.
- We prepare the forms and the supporting resolutions for the directors to review and sign.
- Only after your approval are the forms submitted through SECP's online system. We then send you the acknowledgments.
Frequently asked questions
What does a company have to file with SECP every year?
At a minimum an annual return, plus other filings depending on the size and type of company. Changes such as a new director or address must be reported when they happen.
My company is not doing any business. Do I still have to file?
Generally yes. A company remains on the register, with its filing obligations, until it is properly closed or struck off.
We have missed filings for several years. Can this be fixed?
In most cases overdue filings can be made with the additional fee set by current SECP rules. We review the record first and tell you what is required.
